Terms of use

Who this is between

Sidiali Sports LLC, a Washington limited liability company doing business as Squadify ("Squadify"), and the club that subscribes ("you"). Your staff and players use the portal through you; your agreement is with Squadify, and theirs is with you.

What Squadify provides

Access to the Squadify portal for the term you have paid for, with every feature the product has. Squadify does not hold features back for higher plans; plans differ only by how many players you may have on your roster.

Squadify will keep it running, fix what breaks, and keep improving it. These terms do not commit Squadify to a specific uptime figure. What Squadify does commit to is that you hear from Squadify when something is wrong rather than having to ask.

What you pay

• One payment a year, for the plan matching your roster size, invoiced at the start of your season.
• Prices are on the pricing page and are in US dollars.
• The Academy plan carries a one-off migration fee, quoted before any work starts.
• If your roster grows past your plan's band mid-season, Squadify will not bill you mid-season. Squadify will talk about it at renewal.

Refunds

If Squadify does not do what this site says it does, say so within 30 days of your first payment and it is refunded in full. After that, if you leave mid-year Squadify will refund the unused whole months on request. It would rather return money than keep a club that does not want to be here.

Player fees are yours

Money your players pay goes into your Stripe account, under your own agreement with Stripe. Squadify never holds it and takes no percentage of it. Stripe's processing fee is the only deduction, and it is Stripe's.

That also means the relationship with your players about their fees is yours: refunds, disputes, chargebacks and payment plans are between you and them. Squadify provides the machinery, not the merchant account.

Your data

Your data stays yours. Squadify holds and processes it to run the portal for you, and for nothing else — Squadify does not mine it, sell it, or use it to train anything. What is collected and who it reaches is set out in the privacy policy.

You can have all of it, at any time, without explaining why. If you leave, it is kept for 30 days in case you need it, then deleted.

What you are responsible for

• Having the right to hold what you record. Consent from players, and from a parent or guardian where a player is under 18.
• What your staff do with their access. Keep accounts to people who should have them, and tell Squadify to turn one off when somebody leaves.
• Messaging consent. When the portal sends messages to your players, you are the sender. Collect consent properly and honour a request to stop. The portal records consent and acts on opt-outs for you, but the obligation is the club's.
• The documents you write and issue. See below.
• What you upload. Photographs of players, in particular, are yours to have the right to hold and to share.

The document templates

The portal offers templates — a player agreement, a code of conduct, a media consent — that ask a few questions and write a draft into an editor. What you send to your players is whatever you leave in that editor, and it is your document. The templates are a starting point, not legal advice, and Squadify is not your lawyers. They were written to be clear and reasonable rather than to be enforceable in any particular place. The assumption-of-risk and liability clauses especially: the rules on how a waiver must be worded, and how prominent it has to be, vary by state and by country.

Have yours reviewed where your club plays before you sign players against it. The template asks for your governing law and your league and puts them in the draft, but filling a field in is not the same as the clause being enforceable.

Acceptable use

Do not use Squadify to break the law, to send messages to people who have not agreed to receive them, to store data you have no right to, or to attack the service. If you do, Squadify may suspend access — you will be told why, and where it is fixable, how to fix it.

Suspension and ending it

You can leave at any time. Your access continues to the end of the term you have paid for, subject to the refund terms above.

Squadify may end an agreement with 30 days' notice and a pro-rata refund. It may suspend immediately, without notice, only where use is causing harm — to the service, to Squadify, or to someone else.

Squadify would not withhold your data in a dispute about money. Export is unconditional.

Changes to the service and to these terms

The product changes; that is the point of paying for it annually. Squadify will not remove something you rely on without telling you first, and if a change to these terms materially affects you, you will be emailed rather than left to notice. If you do not accept a change, tell Squadify and you can leave with the unused part of your term refunded.

Liability

Squadify is provided as it is. Squadify will do its best, but cannot promise it will never be unavailable or never contain a mistake.

To the extent the law allows, Squadify's total liability to you is limited to what you have paid it in the twelve months before the claim, and Squadify is not liable for indirect or consequential losses — lost revenue, lost opportunity, or a result on a Saturday.

Nothing here limits anything that cannot lawfully be limited.

Governing law

These terms are governed by the laws of the State of Washington, USA, where Sidiali Sports LLC is organised. This is one of the clauses most worth having checked against your own situation before you rely on it.
